Introduction and Acceptance of Terms
Welcome to AndroHealth, the Hospital Information System developed by Andromeda Information Technology Company (a Saudi closed joint-stock company). By accessing this website or using the system, you acknowledge that you have read, understood, and agreed to comply with these terms. If you do not agree to any part of these terms, you must immediately stop using our services.
This agreement is divided into two scopes to cover all our stakeholders:
Section 1: Website Terms of Use (For Visitors)
These provisions apply to your browsing of the informational website and general content before contracting.
Intellectual Property
All content published on the website (text, designs, logos, system interface images) is the exclusive property of Andromeda and is protected under the intellectual property laws of the Kingdom of Saudi Arabia. Copying, reproducing, or reverse engineering any part of the website without prior written permission is prohibited.
Authorized Use
You are permitted to use the website for legitimate purposes only (learning about our services, requesting quotes). Using the website for any purpose that may harm the company's infrastructure or damage its reputation is prohibited.
Section 2: Medical System Terms of Use (For Subscribers and Users)
These provisions apply once you obtain an account (username and password) to access the AndroHealth Hospital Information System (HIS).
Relationship with Signed Contract
These terms are considered supplementary to the "Subscription Agreement" or "Service Level Agreement (SLA)" signed between your facility and Andromeda. In case of conflict between these terms and the signed contract, the provisions of the specific contract shall prevail.
Account Responsibility
- Login Confidentiality: You are fully responsible for maintaining the confidentiality of your login credentials. Any activity conducted through your account is legally considered to originate from you.
- Authorized Use: Sharing a single account among multiple employees is prohibited. Each healthcare practitioner must have their own independent account to ensure the accuracy of Audit Trails.
Medical Disclaimer (Very Important)
- Support Tool: The facility and user acknowledge that the AndroHealth system is a technical tool for management and automation only, does not provide any medical advice, and does not replace the professional judgment of a physician.
- Medical Decision: The treating physician bears full responsibility for diagnoses, prescriptions, and treatment plans. The company is not responsible for any medical error or harm to the patient resulting from exclusive reliance on the system or automated Clinical Alerts.
Data Accuracy and Input
The responsibility for the accuracy of entered data (such as ICD-10 diagnosis codes, billing data, and insurance information) lies with the user and the medical facility. Andromeda is not responsible for insurance claim rejections or tax violations resulting from human data entry errors.
Government System Integration (Third-Party Integrations)
The system commits to providing technical integration mechanisms with national platforms (such as NPHIES, ZATCA, and Sehhaty).
Limitation of Liability: The company is not responsible for any service interruption, processing delay, or claim rejection resulting from:
- Downtime of government or insurance company servers.
- Sudden changes in integration protocols by regulatory bodies (without sufficient time for updates).
- Failure of the facility to renew its licenses required for integration.
Acceptable Use
Using the system for the following is prohibited:
- Storing or publishing any content that violates Islamic law or Saudi regulations.
- Attempting to hack the system or conducting Penetration Testing without prior written permission.
- Using the system to send unsolicited messages (Spam) to patients.
Section 3: Warranty and Liability Provisions (Material Terms)
Disclaimer of Warranties
You acknowledge and agree that your use of the service is at your own risk. The service is provided "As Is" and "As Available" without warranties of any kind, whether express or implied. Andromeda does not guarantee:
- That the service will be uninterrupted, secure, or free of technical errors.
- The accuracy or reliability of results obtained from using the service (including automated medical alerts).
- That any software errors will be corrected immediately.
- The accuracy of information provided by third parties (such as insurance companies or the NPHIES platform).
Limitation of Liability
To the maximum extent permitted by Saudi law:
- Andromeda, its officers, or employees shall not be liable for any indirect, incidental, special, or consequential damages (including damages resulting from loss of profits, data loss, business interruption, or medical errors resulting from misuse).
- Liability Cap: In all cases, the company's total financial liability to you is limited to the amount you actually paid for using the service during the twelve (12) months preceding the claim (or as specified in the signed contract).
Indemnification
You agree to indemnify and hold Andromeda harmless from any claims, losses, or damages (including legal fees) arising from your violation of these terms, misuse of the system, or violation of any third-party rights.
Section 4: Termination and Governing Law
Termination and Service Suspension
Right to Terminate: We reserve the right to suspend or terminate your access to the service at any time without prior notice in the event of:
- Violation of these terms or the acceptable use policy.
- Delay in payment of financial obligations (per the payment policy).
- Request from security or judicial authorities.
Effect of Termination: Upon termination, all licenses and rights granted to you cease immediately, and the company has the right to delete your data after the regulatory period specified in the privacy policy has expired.
Governing Law and Jurisdiction
These terms are governed by and construed exclusively in accordance with the laws of the Kingdom of Saudi Arabia. Both parties agree to submit to the exclusive jurisdiction of the competent courts in Riyadh to adjudicate any dispute arising from these terms.
